This platform allows Merchant Bankers to upload and store their records electronically, making it easier to maintain, access, and share documents related to public issues.<\/p>\n\n\n\n<p><strong>Applicability<\/strong><\/p>\n\n\n\n<p>The new guidelines apply to all draft offer documents filed on or after January 1, 2025, for companies listing on both Mainboard and SME exchanges.<\/p>\n\n\n\n<p><strong>What\u2019s New?<\/strong><\/p>\n\n\n\n<p>Here\u2019s a quick rundown of the new process:<\/p>\n\n\n\n<ol class=\"wp-block-list\" type=\"1\"><li><strong>Electronic Upload of Records<\/strong>:<\/li><\/ol>\n\n\n\n<ul class=\"wp-block-list\"><li>Merchant Bankers are now required to upload due diligence records and documents (pre-issue and post-issue) onto the Document Repository platform.<\/li><\/ul>\n\n\n\n<p><\/p>\n\n\n\n<ol class=\"wp-block-list\" type=\"1\" start=\"2\"><li><strong>Platform Accessibility<\/strong>:<\/li><\/ol>\n\n\n\n<ul class=\"wp-block-list\"><li>The platform is accessible only to the respective Merchant Banker using secure individual login credentials.<\/li><li>SEBI may access the records for supervisory purposes.<\/li><\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>     3. <strong>Timelines for Uploads<\/strong>:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>From January 1, 2025<\/strong>: Upload documents within <strong>20 days<\/strong> of filing the draft offer document or listing on stock exchanges.<\/li><li><strong>From April 1, 2025<\/strong>: The timeline is reduced to <strong>10 days<\/strong> for both actions.<\/li><\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p>    4. <strong>Coordinated Efforts<\/strong>:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Merchant Bankers must upload the records to one stock exchange and inform others where the issuer company is listing.<\/li><\/ul>\n\n\n\n<p>    5. <strong>Document Guidelines<\/strong>:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>All uploaded documents must be <strong>relevant, complete, and legible<\/strong> to ensure proper record-keeping.<\/li><\/ul>\n\n\n\n<p><\/p>\n\n\n\n<p><strong>Learn More<\/strong><\/p>\n\n\n\n<p>For more information, check out the full circular on SEBI\u2019s website at <a href=\"https:\/\/www.sebi.gov.in\/legal\/circulars\/dec-2024\/repository-of-documents-relied-upon-by-merchant-bankers-during-due-diligence-process-in-public-issues_89321.html\">https:\/\/www.sebi.gov.in\/legal\/circulars\/dec-2024\/repository-of-documents-relied-upon-by-merchant-bankers-during-due-diligence-process-in-public-issues_89321.html<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Date: December 5, 2024 The Securities and Exchange Board of India (SEBI) has rolled out a significant initiative to simplify how Merchant Bankers handle their due diligence records during public issues.
